1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DailyFinz AI, Inc. ("DailyFinz AI," "Company," "we," "us," or "our") governing your access to and use of the DailyFinz AI website located at dailyfinz.com (the "Site"), our mobile applications, and all related services, features, content, and functionality (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms and conditions that may apply to specific features or services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. Material changes will be notified to you via email or prominent notice on the Site at least 30 days before they take effect. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

2. Description of Services

DailyFinz AI provides an AI-powered financial news aggregation and market analysis platform. Our Services include:

• AI-Generated Insights: Daily, weekly, and monthly market analysis generated by artificial intelligence systems.
• Stock Coverage: Individual stock pages with news, analysis, and market data.

• Sector Analysis: Sector-level trends and performance tracking.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.
• Have the legal capacity to enter into a binding agreement.

We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Services and all content, features, and functionality—including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and AI-generated content—are owned by DailyFinz AI or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

The DailyFinz AI name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of DailyFinz AI. You may not use such marks without our prior written permission.

7.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Services for personal, non-commercial purposes.
• View and print content for personal use only.

This license does not include the right to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content or materials obtained from the Services.

7.3 Third-Party Content

Our Services may display content from third-party sources (news articles, market data, etc.). Such content remains the property of its respective owners. We do not claim ownership of third-party content aggregated through our Services.

8. User Content

You acknowledge and agree that:

DailyFinz AI, its affiliates, officers, directors, employees, and agents shall not be responsible or liable for any investment decisions or actions taken based on AI-generated content.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free.
• The results obtained from using the Services will be accurate or reliable.
• Any errors in the Services will be corrected.
• The Services will meet your specific requirements.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DAILYFINZ AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Services.
• Any conduct or content of any third party on the Services.
• Any content obtained from the Services.
• Unauthorized access, use, or alteration of your transmissions or content.
• Investment decisions made based on information provided through the Services.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow limitations on implied warranties or exclusion of liability for certain damages. If you reside in such a jurisdiction, some or all of the above limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless DailyFinz AI, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of the Services.
• Your violation of any third-party rights.
• Any content you submit through the Services.

13. Third-Party Services and Links

Our Services may contain links to third-party websites, services, or resources. We provide these links for convenience only and are not responsible for the content, products, or services offered by third parties. Your use of third-party services is governed by their respective terms and policies.

We use third-party service providers for various aspects of our Services, including cloud hosting, email delivery, analytics, and AI processing. While we select providers carefully, we are not responsible for their actions or omissions.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us or using the account settings. Upon termination, your right to use the Services will immediately cease.

14.2 Termination by Us

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms.
• Conduct that we determine to be harmful to other users or our interests.
• Request by law enforcement or government agencies.
• Extended periods of inactivity.

14.3 Effect of Termination

Upon termination, all rights granted to you under these Terms will cease. Sections that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitation of liability, and indemnification.

15. Governing Law

Except as otherwise provided in jurisdiction-specific provisions (Section 18), these Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

16. Dispute Resolution

16.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@dailyfinz.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 60 days.

16.2 Arbitration Agreement (U.S. Users)

For users in the United States: You agree that any dispute arising from these Terms or the Services will be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in San Francisco, California, unless otherwise agreed.

Class Action Waiver: You agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action. If this class action waiver is found unenforceable, the entire arbitration agreement will be null and void.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to legal@dailyfinz.com within 30 days of first accepting these Terms.

16.3 Jurisdiction for Non-U.S. Users

For users outside the United States, dispute resolution is governed by the jurisdiction-specific provisions in Section 18.

17. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and DailyFinz AI.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, or government actions.
• Headings: Section headings are for convenience only and have no legal effect.
• Language: These Terms are written in English. Any translation is provided for convenience only, and the English version shall prevail.

18. Jurisdiction-Specific Terms

18.1 European Union / European Economic Area

For users in the EU/EEA:

• You have the right to withdraw from this contract within 14 days without giving any reason.
• Nothing in these Terms limits your statutory consumer rights under EU law.
• For EU consumers, disputes may be submitted to the Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
• The courts of your country of residence shall have jurisdiction over any disputes.

18.2 United Kingdom

For users in the UK:

• Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation.
• Your statutory consumer rights remain unaffected.
• The courts of England and Wales shall have jurisdiction, unless you reside in Scotland or Northern Ireland.

18.3 Japan

For users in Japan:

• These Terms shall be governed by the laws of Japan.
• The Tokyo District Court shall have exclusive jurisdiction over any disputes.
• Nothing in these Terms limits your rights under the Consumer Contract Act of Japan.

18.4 South Korea

For users in South Korea:

• These Terms shall be governed by the laws of the Republic of Korea.
• The Seoul Central District Court shall have exclusive jurisdiction.
• Your rights under the Consumer Protection Act and other applicable laws are preserved.

18.5 Australia

For users in Australia:

• Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot be excluded.
• If the Australian Consumer Law applies, our liability for goods is limited to replacement, repair, or refund, and for services to re-supply or payment for re-supply.
• The courts of New South Wales shall have jurisdiction.

18.6 New Zealand

For users in New Zealand:

• Nothing in these Terms excludes or limits your rights under the Consumer Guarantees Act 1993 or Fair Trading Act 1986.
• These Terms shall be governed by New Zealand law.
• The courts of New Zealand shall have jurisdiction.
